1. General Information Regarding These Terms of Service
Welcome, and thank you for your interest in Ministry Inbox Inc. ("Ministry Inbox," "we," "our," or "us"), a corporation organized under the laws of the State of Florida. These Terms of Service ("Terms") apply to your use of all the websites that Ministry Inbox operates such as https://ministryinbox.com and its subdomains, (collectively, the “Websites”). The Terms also apply to all services provided through the Websites ("Services"). These Terms form a binding legal agreement between you and Ministry Inbox in relation to your use of the Services.
2. Your Agreement to the Terms
BY CHECKING "I AGREE TO THE TERMS" AND CLICKING THE "CONTINUE" BUTTON OR OTHERWISE ACCESSING OR USING ANY OF THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREED TO BE BOUND BY THE TERMS. By checking "I Agree to the Terms" and clicking the "Continue" button or otherwise accessing or using any Services you also represent that you have the legal authority to accept the Terms on behalf of yourself and any party you represent in connection with your use of any Services. If you do not agree to the Terms, you are not authorized to use any Services. If you are an individual who is entering into these Terms on behalf of an entity, you represent and warrant that you have the power to bind that entity, and you hereby agree on that entity's behalf to be bound by these Terms, with the terms "you" and "your" applying to you, that entity, and other users accessing the Services on behalf of that entity.
3. Changes to the Terms
From time to time, Ministry Inbox may change, remove, or add to the Terms, and reserves the right to do so in its discretion. In that case, we will post updated Terms at https://ministryinbox.com/terms and indicate the date of revision. All new and/or revised Terms take effect immediately and apply to your use of the Services from that date on. Your continued use of any Services after new and/or revised Terms are effective indicates that you have read, understood, and agreed to those Terms.
4. Overview of Services
Our Services include various productivity, collaboration, and communication tools such as to-dos, reminders, calendar, lists, live text chat, websites, web forms, bulk emails, text messages, and tickets. These Services are provided primarily through the domain ministryinbox.com including its subdomains and email addresses. Many of the subdomains and emails contain user generated content.
5. Content Available through the Services
Provided as-is: You acknowledge that Ministry Inbox does not make any representations or warranties about the information such as text, images, audio, video, and other files (collectively, the "Content") which you may have access to as part of, or through your use of, the Services. Under no circumstances is Ministry Inbox liable in any way for any Content, including, but not limited to: any infringing Content, any errors or omissions in Content, or for any loss or damage of any kind incurred as a result of the use of any Content posted, transmitted, linked from, or otherwise accessible through or made available via the Services. You understand that by using the Services, you may be exposed to Content that is offensive, indecent, or objectionable. You agree that you are solely responsible for your reuse of Content made available through the Services.
6. Content Supplied by You
Your responsibility: You agree that you are solely responsible for the Content posted or otherwise shared by you on or through any of the Services ("Your Content"). You further represent, warrant, and agree that Your Content does not violate or infringe upon the rights of any third party, including copyright, trademark, privacy, publicity, or other personal or proprietary rights, does not breach or conflict with any obligation, such as a confidentiality obligation, and does not contain libelous, defamatory, or otherwise unlawful material.
Licensing Your Content: You retain any copyright that you may have in Your Content. You hereby agree to grant us a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, host, copy, reproduce, process, review, modify, adapt, prepare derivative works of, publish, transmit, distribute, communicate, and display the content you contributed.
Removal: Ministry Inbox may, but is not obligated to, review Your Content and may delete or remove Your Content (without notice) from any of the Services in its sole discretion. Removal of any of Your Content from the Services (by you or Ministry Inbox) does not impact any rights you granted in Your Content under the terms of a Ministry Inbox license.
Feedback: Any feedback or suggestions that you provide regarding our Services is voluntary, and we are free to act on it without any any obligation to you.
Backups: We make commercially reasonable efforts to prevent data loss, but it is your responsibility to make backups of Your Content.
7. User Logins
By registering for a user login through any of the Services, you represent and warrant that you are the age of majority in your jurisdiction (typically age 18) and that you are not under age 13. Services offered to registered users are provided subject to these Terms and our Privacy Policy, located at https://ministryinbox.com/privacy, which is hereby incorporated by reference into these Terms.
User Logins: You agree to (a) only provide accurate and current information about yourself (though use of an alias or nickname is appropriate for your username), (b) maintain the security of your passwords and identification, (c) promptly update the email address listed in connection with your account to keep it accurate so that we can contact you, and (d) be fully responsible for all uses of your account. You must not set up a username and password on behalf of another individual or entity unless you are authorized to do so.
No Membership in Ministry Inbox: Creating a Ministry Inbox account or user login or using any of our Services does not and shall not be deemed to make you a member, shareholder or affiliate of Ministry Inbox for any purposes whatsoever.
Termination: Ministry Inbox reserves the right to modify or discontinue your account or user login at any time for any reason or no reason at all.
8. Text Notifications
Ministry Inbox provides options to received notifications via text messages. For example, you may choose to receive a text notification when you receive a new submission to one of your web forms.
You can stop these text notifications within your Ministry Inbox Manager, or you can simply reply "STOP" which will cause our system to confirm your unsubscribe status via text and then stop sending text messages to you unless you opt in again to receive text messages.

You agree not to hold carriers liable for delayed or undelivered text messages.
Message and data rates may apply for messages that you send to and receive from our system. For questions about your text and data plan, consult with your wireless provider. Within your Ministry Inbox Manager you have the ability to control the text message frequency.

9. Payments
Our paid packages are sold as monthly subscriptions.
We use Stripe (stripe.com) to process payments for our Services.
Currently, we only provide paid services to customers located in the United states.
We currently do not collect and remit sales tax because we have not yet met the economic nexus thresholds to be required to do so. If you live in a state that treats our Services as taxable, then it is your responsibility to pay those taxes.
All payments for our Services are considered non-refundable to the extent permitted by law, but please contact us if you feel you deserve a refund.
10. Prohibited Conduct
You agree not to engage in any of the following activities:
i. Violating laws and rights:
You may not (a) use our Service for any illegal purpose or in violation of any local, state, national, or international laws or regulations, or (b) violate or encourage others to violate any right of or obligation to a third party, including by infringing, misappropriating, or violating intellectual property, confidentiality, or privacy rights.
You agree that it is your responsibility to ensure that you comply with all applicable laws and regulations while using our Services, such as when sending emails, sending text messages, or publishing web pages.
ii. Unsolicited emails or text messages:
You may not use the Services to send unsolicited emails or text messages, including junk mail, spam, or any form of unsolicited or unwelcome solicitation. It is your responsibility to obtain the necessary consent before sending emails or text messages when using the Services. Additionally, you are not permitted to use the Services to send emails or text messages containing content likely to result in high levels of spam complaints, such as payday loans, debt collection, debt consolidation, credit repair, cannabis, prescriptions, work-from-home offers, gambling, politics, polling, sweepstakes, controlled substances, and adult content.
iii. Disruption:
You may not use the Services in any manner that could disable, overburden, damage, or impair the Services, or interfere with any other party's use and enjoyment of the Services; including by (a) uploading or otherwise disseminating any virus, adware, spyware, worm or other malicious code, or (b) interfering with or disrupting any network, equipment, or server connected to or used to provide any of the Services, or violating any regulation, policy, or procedure of any network, equipment, or server.
iv. Harming others:
You may not post or transmit Content on or through the Services that is harmful, offensive, obscene, abusive, invasive of privacy, defamatory, hateful or otherwise discriminatory, false or misleading, or incites an illegal act;
You may not intimidate or harass another through the Services; and, you may not post or transmit any personally identifiable information about persons under 13 years of age on or through the Services.
v. Impersonation or unauthorized access:
You may not impersonate another person or entity, or misrepresent your affiliation with a person or entity when using the Services;
You may not use or attempt to use another's account or personal information without authorization; and
You may not attempt to gain unauthorized access to the Services, or the computer systems or networks connected to the Services, through hacking, password mining, or any other means.
vi. Sensitive Information
You may not use our Services to transmit or store any sensitive information such as Social Security numbers, protected health records, and credit card numbers.
11. DISCLAIMER OF WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MINISTRY INBOX OFFERS THE SERVICES (INCLUDING ALL CONTENT AVAILABLE ON OR THROUGH THE SERVICES) AS-IS AND MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND CONCERNING THE SERVICES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION, WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MINISTRY INBOX DOES NOT WARRANT THAT THE FUNCTIONS OF THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT CONTENT MADE AVAILABLE ON OR THROUGH THE SERVICES WILL BE ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT ANY SERVERS USED BY US ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. MINISTRY INBOX DOES NOT WARRANT OR MAKE ANY REPRESENTATION REGARDING USE OF THE CONTENT AVAILABLE THROUGH THE SERVICES IN TERMS OF ACCURACY, RELIABILITY, OR OTHERWISE.
12. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL MINISTRY INBOX BE LIABLE TO YOU ON ANY LEGAL THEORY FOR ANY INCIDENTAL, DIRECT, INDIRECT, PUNITIVE, ACTUAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR OTHER DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF REVENUE OR INCOME, LOST PROFITS, PAIN AND SUFFERING, EMOTIONAL DISTRESS, COST OF SUBSTITUTE GOODS OR SERVICES, OR SIMILAR DAMAGES SUFFERED OR INCURRED BY YOU OR ANY THIRD PARTY THAT ARISE IN CONNECTION WITH THE SERVICES (OR THE TERMINATION THEREOF FOR ANY REASON), EVEN IF MINISTRY INBOX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MINISTRY INBOX IS NOT RESPONSIBLE OR LIABLE WHATSOEVER IN ANY MANNER FOR ANY CONTENT POSTED ON OR AVAILABLE THROUGH THE SERVICES (INCLUDING CLAIMS OF INFRINGEMENT RELATING TO THAT CONTENT), FOR YOUR USE OF THE SERVICES, FOR ANY DELAYED OR UNDELIVERED EMAILS OR TEXT MESSAGES, OR FOR THE CONDUCT OF THIRD PARTIES ON OR THROUGH THE SERVICES.
Certain jurisdictions do not permit the exclusion of certain warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply to you. IN THESE JURISDICTIONS, THE FOREGOING EXCLUSIONS AND LIMITATIONS WILL BE ENFORCED TO THE GREATEST EXTENT PERMITTED BY APPLICABLE LAW.
TO THE EXTENT NOT PROHIBITIED BY LAW, THE AGGREGATE LIABILITY OF MINISTRY INBOX SHALL NOT EXCEED THE GREATER OF FIFTY U.S. DOLLARS OR THE AMOUNT YOU PAID US FOR OUR SERVICES IN THE PAST SIX MONTHS.
13. Indemnification
To the extent authorized by law, you agree to indemnify and hold harmless Ministry Inbox, its employees, officers, directors, affiliates, and agents from and against any and all claims, losses, expenses, damages, and costs, including reasonable attorneys" fees, resulting directly or indirectly from or arising out of (a) your violation of the Terms, (b) your use of any of the Services, and/or (c) the Content you make available on any of the Services.
14. Privacy Policy
Ministry Inbox is committed to responsibly handling the information and data we collect through our Services in compliance with our Privacy Policy, located at https://ministryinbox.com/privacy, which is hereby incorporated by reference into these Terms. Please review the Privacy Policy so you are aware of how we collect and use your personal information.
15. Copyright Policy
Ministry Inbox respects copyright, and we prohibit users of the Services from submitting, uploading, posting, or otherwise transmitting any Content on the Services that violates another person's proprietary rights.
Ministry Inbox abides by the federal Digital Millennium Copyright Act ("DMCA"), and we utilize its notice-and-takedown system. To report allegedly infringing Content on our Services, send a Notice of Infringing Materials as set out in the DMCA. We respond to notices of alleged infringement that comply with the DMCA and other applicable laws. As part of our response, we may remove or disable access to material residing on our Services (such as ministryinbox.com and all its subdomains) that is claimed to be infringing, in which case we will make a good-faith attempt to contact the person who submitted the affected material so that they may make a counter notification, also in accordance with the DMCA.
Ministry Inbox does not have the ability to remove content from third party websites it does not operate. If you are the copyright owner of content hosted on a third party website, and you have not authorized the use of your content, please contact the administrator of that third party website directly to have the content removed.
Before serving either a Notice of Infringing Material or Counter-Notification, you may wish to contact a lawyer to better understand your rights and obligations under the DMCA and other applicable laws. The following notice requirements are intended to comply with Ministry Inbox's rights and obligations under the DMCA and, in particular, section 512(c), and do not constitute legal advice.
Notice of Infringing Material
To file a notice of infringing material on a site owned or controlled by Ministry Inbox (such as on subdomains of ministryinbox.com), please provide a notification containing the following details:
Reasonably sufficient details to enable us to identify the work claimed to be infringed or, if multiple works are claimed to be infringed, a representative list of such works (for example: title, author, any registration or tracking number, URL);
Reasonably sufficient detail to enable us to identify and locate the material that is claimed to be infringing (for example a link to the page that contains the material);
Your contact information so that we can contact you (for example, your address, telephone number, email address);
A statement that you have a good faith belief that the use of the material identified in (2) is not authorized by the copyright owner, its agent, or the law;
A statement, under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the owner of the exclusive right that is alleged to be infringed.

Counter-Notification
If material that you have posted to a subdomain website on Ministry Inbox has been taken down, you may file a counter-notification as set out in the Digital Millennium Copyright Act ("DMCA").
16. Termination
By Ministry Inbox: Ministry Inbox may modify, suspend, or terminate the operation of, or access to, all or any portion of the Services at any time for any reason. Additionally, your individual access to, and use of, the Services may be terminated by Ministry Inbox at any time and for any reason.
By you: If you wish to terminate this agreement, you may immediately stop accessing or using the Services at any time.
Automatic upon breach: Your right to access and use the Services automatically upon your breach of any of the Terms.
Survival: The disclaimer of warranties, the limitation of liability, and the jurisdiction and applicable law provisions will survive any termination. The license grants applicable to Your Content are not impacted by the termination of the Terms and shall continue in effect subject to the terms of the applicable license.
17. Miscellaneous Terms
Choice of law: The Terms are governed by and construed by the laws of the State of Florida in the United States, not including its choice of law rules.
Dispute resolution: The parties agree that any disputes between Ministry Inbox and you concerning these Terms, and/or any of the Services may only brought in a federal or state court of competent jurisdiction sitting in the Middle District of Florida, and you hereby consent to the personal jurisdiction and venue of such court.
No waiver: Either party's failure to insist on or enforce strict performance of any of the Terms will not be construed as a waiver of any provision or right.
Severability: If any part of the Terms is held to be invalid or unenforceable by any law or regulation or final determination of a competent court or tribunal, that provision will be deemed severable and will not affect the validity and enforceability of the remaining provisions.
No agency relationship: The parties agree that no joint venture, partnership, employment, or agency relationship exists between you and Ministry Inbox as a result of the Terms or from your use of any of the Services.
Integration: These Terms constitute the entire agreement between you and Ministry Inbox relating to this subject matter and supersede any and all prior communications and/or agreements between you and Ministry Inbox relating to access and use of the Services.
